提单是作为承运人和托运人之间处理运输中双方权利和义务的依据。虽然一般它不是由双方共同签字的一项契约，但就构成契约的主要项目如船名、开航日期、航线、靠港以及其它有关货运项目，是众所周知的；有运价和运输条件，承运人也是事先规定的。因此在托运人或其代理人向承运人定舱的时候就被认为契约即告成立，所以虽然条款内容是由承运人单方拟就，托运人也应当认为双方已认可，即成为运输契约。因此，习惯上也就成了日后处理运输中各种问题的依据。
