股票发行是公司新股票的出售过程。新股票一经发行，经中间人或迳自进入应募人之手，应募人认购，持有股票，即成为股东。这一过程一般没有固定集中的场所，或由公司自己发行，较普通的是由投资银行、信托公司、证券公司和经纪人等承销经营。发行股票有两种情况： ①新公司成立，首次发行股票; ②已成立的公司增资发行新股票。二者在发行步骤和方法上都不相同。创建新公司首次发行股票，须办理一系列手续。即由发起人拟定公司章程，经律师和会计师审查，在报纸上公布，同时报经主管机关经审查合格准予注册登记，领取登记证书，在法律上取得独立的法人资格后，才准予向社会上发行。
