贷款合同是经济合同的一种形式。即贷款方将货币交付借款方使用，借款方依照有关规定，按期将一定数额的货币及其利息返还给贷款方，确定相互权利义务关系的协议。为了保证自身安全，贷方要求借方在贷款合同有效期间的财务状况 (特别是它的流动性) 至少要同它签订合同时的情况不相上下。列在贷款合同中维护贷款者利益的条款，叫做保护性条款(Protective covenant)。贷款合同本身只是表示在借方违反合同条款的场合下，贷方有采取行动的合法权限。否则的话，贷方将受到它承诺的贷款条件的约束，一直要等到合同期满才能采取纠正措 施。
