商务条款一般是指贸易合同条款中的商务部分，是相对于合同技术条款而言的。合同需求中只有一小部分是法律条款，其他大部分都是商务条款。法律条款主要是与强制性规范以及法律授权由当事人自行约定的条款有关。例如，合同主体是否合法、合同约定是否合法、争议管辖地如何约定等。商务条款则是当事人自己需要权衡和决策的问题，主要是与经济利益密切相关的交易标的、价格、付款条件等条款。
第二条招标文件应当明确规定允许的投标货币和报价方式，并注明该条款是否为重要商务条款。
