所谓情势变更，是指合同有效成立后，因不可归责于双方当事人的原因发生情势变更，致合同之基础动摇或丧失，若继续维持合同原有效力显失公平，允许变更合同内容或者解除合同。情势变更原则的意义，在于通过司法权力的介入，强行改变合同已经确定的条款或撤销合同，在合同双方当事人订约意志之外，重新分配交易双方在交易中应当获得的利益和风险，其追求的价值目标，是公平和公正。
