证券流通市场是指买卖已发行证券的市场，又称二级市场、次级市场。由证券交易所和场外交易市场组成。是已发行的证券通过买卖交易实现流通转让的场所。证券流通市场一般由两个子市场构成，一是证券交易所市场，其交易有固定的场所和固定的交易时间，是最重要的集中的证券流通市场；二是场外交易市场，是证券经营机构开设的证券交易柜台，不在证券交易所上市的证券可申请在场外进行交易。
