表示行为，是指行为人设立、变更或终止民事法律关系的效果意思通过一定方式表现于外部的行为。构成要件：（1）行为人须具备具体的内在效果意思；（2）行为人须以一定方式表示了其意思，其方式可以是口头的、书面的或默示的。学理上对表示行为可作多种分类。依表示方式可将其分为积极的表示行为和消极的表示行为，前者指以明示方式进行的表示行为，后者指以默示方式进行的表示行为；依表示主体可将其分为直接表示行为和间接表示行为，前者指行为人亲自从事的表示行为，后者则指行为人通过代理人表示其意思的行为。
