破产隔离是指在资产证券化中实现基础资产的风险和其他资产（资产所有人的其他资产）风险隔离。为实现破产隔离，首要实现“真实销售”。所谓“真实销售”是指某项财产通过转让不再属于债务人的范围。在资产证券化中，虽是以“真实出售”之名，而是行担保之实。
