次级证券亦称间接证券，是银行为购买初级证券筹集资金而发行的证券。发行次级证券取得的资金，只能用来购买初级证券。在次级证券交易中，在初级证券发行人的帐上，资产方现金增加，负债方初级证券增加;在银行帐上，资产方的初级证券增加，购买初级证券的现款减少及出售初级证券的现金增加，负债方为次级证券增加;在投资者的帐上，在资产方现款减少的同时次级证券增加。
