拒绝证书，是指用以证明持票人曾经依法行使票据权利而被拒绝，或者无法行使票据权利的一种公证文书。持票人据此得以行使追索权利。为一种单纯的证书，只证明一种事实而不创设或表示任何权利。由有权制作的机关制作。一经制作，其效力不因当事人的否认而失效，除非有相当证据证明之。
