后合同责任是指合同关系消灭以后，应承担保密、协助、保护、通知（告知）等义务的一方当事人，违反此项义 务，给相对方当事人造成损失时，所应承担的一种民事责任。这种责任是合同责任在合同履行完毕后的一种延续的性质，在国际上大多认为它是合同责任的一种特殊形式，应属于合同法调整的范畴。因此，有的称之为“类似合同责任”，更多的则称之为“后合同责任”。
