优先权是法律上基于特殊政策性考虑而赋予某些特种债权或其他权利的一种特殊效力，以保障该项权利能够较之普通债权而优先实现。优先权并非单独存在的一类权利，而仅是对某些权利的法律效力的加强，其性质仍未完全脱离其所强化的权利本身的性质。被法律赋予优先受偿效力的特种债权虽具有物权的某些效力特点，但其与抵押权、质权等典型担保物权在立法目的、特性、成立要件、基本规则等方面有重大差别，不宜相提并论。鉴于优先权既不同于普通债权，也与典型担保物权的特性不完全相同，因此可将其定位为准担保物权。
