南宋吕祖谦（1137-1181）撰。祖谦为宋代著名学者，开浙东学派先声，其生平事迹，详见《古周易》条。祖谦师为林之奇，之奇撰《尚书全解》，至《洛诰》而终。祖谦此书，即始自《洛诰》，终于《泰誓》。是书《文献通考》作十卷，赵希弁《读书附志》作六卷，都与此本不合。
