“Affiliate,” as applied to any person, means any other person, directly or indirectly, controlling controlled or under common control with that person. The term “control” (including, with correlative meanings, the terms “controlling,” “controlled by” and “under common control with”), as applied to any person, includes the possession, directly or indirectly, of ten percent (10%) or more of the voting power (or in the case of a person which is not a corporation, ten percent (10%) or more of the ownership interest, beneficial or otherwise) of such person or the power otherwise to direct or cause the direction of the management and policies of that person, whether through voting, by contract or otherwise;
