An acquirer that obtains CFIUS approval can proceed to close the transaction knowing that a safeharborprovision usually protects it from future CFIUS actions.
The court interpreted the Florida Supreme Court's earlier opinion as requiring all recounts be complete by Dec. 12 in order to take advantage of a "safe harborprovision" in federal law that results certified by that date could not be challenged in Congress.
However, Universal argued because most of the recordings at issue were created before 1972 (the year Congress first provided federal copyright protection to sound recordings), the federal copyright laws do not apply and the safeharborprovision of the DMCA is unavailable to Grooveshark.
