具有法人人格，享有民事权利和承担民事义务的国家机关、社会团体、企业和事业单位等。 现代多数国家的法人理论认为，法人是区别其成员的个体意志和利益，享有独立的法律人格，拥有独立的财产和利益，并独立承担民事责任的组织。中国的民事立法对上述理论持肯定态度。《民法通则》第36条规定，法人是具有民事权利能力和民事行为能力，依法独立享有民事权利和承担民事义务的组织。
