正当持票人亦称善意持票人。善意地付了全部金额的对价，取得一张表面上各项手续完整合格、尚未过期未拒付的票据的持票人。未发现其前手在权利方面有任何缺陷。即使事后发现其前手是以不正当手段取得的票据，正当持票人的权利也不受影响。另外，凡从正当持票人手中取得的票据，即使未付过对价(如赠与)也可享受其前手作为正当持票人的权利。
英国票据法的正当持票人（holder in due course）指在票据完整、过期的情况下，出于诚信，不知悉出让人的权利有瑕疵，并且支付了对价而票据的持票人。
