基础资产(underlying assets) 指的是衍生金融工具（如：期权，互换）交易所依赖的资产。 基础资产应准确称为“收益”。在资产证券化过程中，基础资产的法律定性应该在既有的权利范畴内寻找，例如债权、知识产权、物权、股权等，而不能概括成债权的收益权、知识产权的收益权、股权的分红权。这些收益权与原生权利在外观上和实体上是一体的，因此，可将基础资产称为“现金收益”，把目前资产证券化过程中出现的收益权回归到债权、物权等严格法律范畴的轨道上来，用规范的法律概念来定义基础资产，而不宜动辄创设新的权利。
