国际贸易惯例，是指根据长期的国际贸易实践中逐步形成的某些通用的习惯做法而制定的规则。虽然不是法律，不具有普遍的法律拘束力。但按各国的法律，在国际贸易中都允许当事人有选择适用国际贸易惯例的自由，一旦当事人在合同中采用了某项惯例，它对双方当事人就具有法律拘束力。有些国家的法律还规定，法院有权按照有关的贸易惯例来解释双方当事人的合同。在国际贸易中影响最大的是国际商会制定的《国际贸易术语解释通则》和《商业跟单信用证统一惯例》。
