合营一方如不履行本合同或公司章程的义务，违约一方，得赔偿另一方因此而遭受的经济损失。
If either of the Parties fails to fulfill its obligations under this Contract, it shall compensate the other party for all its economic losers resulting therefore.
“批准证书”指由审批机关签发的，批准成立合营公司、本合同以及公司章程的证书。
"Approval certificate" means the certificate issued by the Examination and Approval Authority approving the establishment of the Company and this Contract and the Articles of Association.
