合同相对性是指原则上合同项下的权利义务只能赋予给当事人或加在当事人身上，合同只能对合同当事人产生拘束力，而非合同当事人不能诉请强制执行合同。起源于罗马法。有两层涵义：1、意指“当事人之间之羁束状态而言”。2、即指合同仅于缔约人之间发生效力，对合同外第三人不发生效力；合同缔约人不得以合同约定涉及第三人利益的事项，任何一方缔约人不与第三人发生权利义务关系，否则合同无效。
