All policies of insurance shall carry a minimum “Best's Guide Rating”of “A-” or better for all insurance carried. Each such policy shall be primary without right of contribution from any insurance carried by WSS and shall provide an endorsement for waiver of subrogation rights against WSS, its subsidiaries and Affiliated companies, and their employees and agents. Each such policy shall provide that no cancellation or change in coverage adverse to WSS shall be valid except upon at least thirty (30) days prior written notice to WSS (it being understood that the same shall in no way alleviate the Supplier's obligations to maintain the insurance coverage in the manner set forth above). Prior to commencing any shipment of products to WSS, the Supplier shall present WSS with certificates of insurance evidencing the insurance coverage required above, naming WSS as additional named insured.
