抵押债券(mortgage bonds)是指债券发行人在发行一笔债券时，通过法律上的适当手续将债券发行人的部分财产作为抵押，一旦债券发行人出现偿债困难，则出卖这部分财产以清偿债务。在这一法律关系中有债券和信托协议两个凭证，涉及债券发行人、债券持有人和债券信托人三方面的关系。债券信托人代表债券持有人保管抵押品或留置品。债券发行人到期无力偿还本息时，债券持有人通过其信托人行使对抵押品或留置品的处理权。
