金融工具亦称“信用工具”或 “交易工具”，资金缺乏部门向资金盈余部门借入资金，或发行者向投资者筹措资金时，依一定格式做成的书面文件，上面确定债务人的义务和债权人的权利，是具有法律效力的契约。金融工具是金融市场交易的对象，它是随信用关系的发展而产生、发展起来的。现代错综复杂的资金融通关系，不可能靠口头协议办事。口说无凭，容易引起争执，也不能使债权或所有权在市场上转让、流通。为了适应多种信用形式的需要，产生了商业票据、银行存款凭证、股票、债券等金融工具。任何金融工具都具有双重性质： 对工具的发行者 (借款者)，它是一种债务; 对投资者 (贷款者)，它是一种金融资产。每种金融工具，适应交易的不同需要而各有其特殊内容，但也有些内容是共同的，如： 票面金额、发行者(出票人) 签章、期限、利息率 (单利或复利) 等。
