外部监事，我国公司法对外部监事没有作出明确规定。公司法仅规定，有限责任公司和股份有限公司的监事会应当包括股东代表和适当比例的公司职工代表。实践中，公司的监事会由上述两类人士担任带来的问题是，监事会的独立性不足，很难对公司的经营管理进行有效的监督。
为了弥补这个缺陷，中国应设立外部监事制度。
