合营企业协议是合营企业三种基本文件之 一。它是合营各方对设立合营企业的某些要点和原则达成一致意见而订立的文件。协议本身虽无法律效力，但它是任何有法律效力的合同所必需的先决条件，协议是据以制定合同的基础。协议中所规定的问题一般比较原则，文字也比较简明扼要，往往在达成协议以后，双方还要对具体细节问题进行细致的调查研究，做经济和技术可行性分析，并且反复进行谈判，在此基础上，才能达成一个真正可以履行的，明确规定双方权力义务的合同。
