风险资本（Venture Capital）是一种以私募方式募集资金，以公司等组织形式设立，投资于未上市的新兴中小型企业（尤其是新兴高科技企业）的一种承担高风险、谋求高回报的资本形态。它和共同基金、单位信托等证券投资基金截然不同，在投资、募集等运作方式上有其自身的特点。国内有些部门提出的产业投资基金实际上就是风险资本。
