财务委员会是董事会下属的专门委员会之一。大型公司董事会的立法职能涉及面宽，工作量大，因此往往在董事会下建立若干个附属委员会，作为董事会的顾问和助手。财务委员会人数不多，以董事为主。可以吸收少量非董事参加。它的职能是：代表董事会对公司财务活动作深入的研究分析;有权决定公司的财务政策，甚至负责指挥公司的财务活动;有权管理公司的一切资金拨用，解决新行业投资等金融问题;负责审核执委会提出的公司财务政策，经董事会或股东大会批准监督执行。有些公司不设立独立的财务委员会，而由常务董事会承担此责，也有的公司把财务委员会附属在常务董事会之中。
