记名债券 Registered Bonds，在票面上记载债券持有人姓名或名称的公司债券。 如根据公司债券是否记载债权人的姓名或名称，可以把公司债券分为记名公司债券和无记名公司债券。无记名公司债券是指债券票面没有载有持有人姓名或者名称的公司债券。
无记名公司债券的转让，由债券持有人将该债券交付给受让人后即发生转让的效力。
