截至本协议签署之日(包括签署之日)，除附录2中单个列示的协议外，目标公司未订立任何其他的协议、合同或承诺。
Up to (and on) the Execution Date, the Target Company has not entered into any agreement or contract or commitment other than those listed and individually included in Annex 2 hereto.
合同按其本身之条款不能在合同成立之日起一年内履行者，非以书面订立不得强制执行。
Contracts that cannot, by their own terms, be performed within one year from the date the contract is formed must be in writing to be enforceable.
本合同由被正当授权之人，于本协议于上述记载之日期代表双方当事人订立，特此证明。
