表示主义，“意思主义”的对称。是指大陆法民法中主张以行为人意思的外在表示为根据确认其行为效力的学说。为罗马法学派罗拓麻、但慈等所首倡。该说认为：行为人的有效意思仅能通过外在表示来识别，至于其真实内在意思如何，则无关紧要；为了维护交易安全，保护相对人的合法权益，法律仅应确认行为人外在表示的意思效力。这一学说对民事法律行为理论的发展曾起到过重要的作用，但失之偏颇，完全采取这二立场的国家不多。
