独占许可是指技术的接受方在协议的有效期内，在特定地区，对许可协议规定的技术拥有独占的使用权;同时技术的许可方不得在该地区使用该技术制造和销售商品，更不能把该技术再授予该地区的任何第三方。这种交易中所指的地区必须是出让方和受让方经过协商一致同意的，不能是单方的意愿。这种地区可以是一个国家或几个国家，也可以是一个特定的区域，如日本、欧盟或者东南亚地区等。
