次级债务（subordinated debt/ junior debt） 是指银行发行的，固定期限不低于5年（包括5年），除非银行倒闭或清算，不用于弥补银行日常经营损失，且该项债务是索偿权排在存款和其他负债之后的商业银行长期债务。次级债务在大多数国家已成为银行附属资本的重要来源，对银行提高流动性、降低融资成本、加强市场约束力等具有重要作用。
