普通公司债是“参加公司债”的对称，是指资金需求者（发行公司）发行债务凭证予资金供给者，约定其票面利息计付及本金之偿还方式，此债务凭证即为公司债代表发行公司之负债，于该公司债存续期间内，不论其获利情况如何，均需依发行条件按时支付一定金额或比率之利息，并依约按按额偿还本金。所有公司均得发行普通公司债，惟未对外公开发行公司其所发行之公司债以私募为限。
发行人发行普通公司债者，得免出具证券承销商评估报告及律师法律意见书。
