委托经营是指受托人接受委托人的委托，按照预先规定的合同，对委托对象进行经营管理的行为。从法律上看，委托经营是信托范畴的延伸和发展。但在具体内涵上又有区别。信托的内涵是资产的委托管理，是以受托人的名义代为管理或处理财产；而委托经营的内涵是企业的委托经营，主要以企业产权及其经营权为对象，对陷入经营困境或发生产权关系重大变动的企业委托专门的托管机构经营管理，目的是改善企业的经营管理，提高企业的赢利能力。
