国有独资公司是指国家单独出资、由国务院或者地方人民政府授权本级人民政府国有资产监督管理机构履行出资人职责的有限责任公司。国有独资公司符合有限责任公司的一般特征：股东以其出资额为限对公司承担责任，公司以其全部法人财产对公司的债务承担责任。但同时国有独资公司是一种特殊的有限责任公司，其特殊表现为该有限责任公司的股东只有一个——国家。这是《公司法》为适应建立现代企业制度的需要，结合我国的实际情况而制定的。
