动产抵押是指债务人或第三人以动产不移转占有而供担保的抵押形式。在债务人不履行债务时，抵押权人占有抵押动产，并就其出卖价金优先于其他债权而受清偿。由于不移转动产的占有而与以动产为标的的质权相区别，因动产抵押为不占有债务人或第三人提供的动产的担保，故成立动产抵押须订立书面契约并经登记。动产抵押多由法律的特别规定而发生，常见的有船舶抵押，航空器抵押等。各国另有各自的特种动产抵押，如英国有在库商品抵押、法国有营业财产抵押，德国有农业用具抵押、日本有农用动产抵押等。
在过渡时期，“公司”的职员实行 动产抵押 ( chattel mortgage ),在这种抵押中，作为债务偿付的担保是动产，即除自由保有的土地以外的个人财物。
