关联公司是由两个股东以上成员组成、全体股东对公司债务负担连带无限责任的公司。如果公司经营失败，公司的财产不足以抵偿公司所欠债务时，公司的全体股东必须以自己的全部财产负责还清公司所欠债务。在国外也称之为“人合公司”、“合名公司”，因为这种公司通常以它的一个或两个股东的名字作为公司的牌号，并以股东个人的信用、声誉、地位作为对外信用的保证。
