保留盈余，是指企业从历年实现的净利润中提取或形成的留置于企业内部的积累，包括盈余公积和未分配利润两个组成部分。 指公司历年累积之纯益，未以现金或其它资产方式分配给股东、转为资本或资本公积者；或历年累积亏损未经以资本公积弥补者。保留盈余是连结损益表与资产负债表之股东权益的一个科目。
