优先债权，劣质债权的对称。是指可以先于一般债权得到清偿的债权。民法中有财产担保的债权，海商法中因共同债权人的利益而支付的费用，均属优先债权。在破产法中，能先于破产债权得到清偿的债权均属优先债权，如债权人对债务人所享有的有财产担保的债权、受理破产案件的法院所收取的诉讼费用、破产企业支付给清算组织的劳动报酬以及其他破产费用，均属于优先债权。只有优先债权得到清偿后，一般债权才有机会得到清偿。
