This article analyzes the main body , the definition of short swing trading and the exercise of the right of incorporation on the basis of relative stipulation and practice in Securities Exchange Act of America , Japan and Taiwan region.
本文结合美国、日本和我国台湾地区证券交易法的有关规定和我国的实践，对短线交易的主体、短线交易行为的认定和归入权的行使等问题进行分析，并提出相应的立法建议：短线交易主体的范围应扩大为公司的董事、监事、高级管理人员和主要股东，应引入受益所有人概念并将之列入归入权行使的对象，在短线交易主体的认定上采用“一端说”；构成短线交易的“买卖”应指的现金买卖，内部人短线交易认定采用客观归责原则。
