证券代销（Securities proxy sale）是指证券公司代发行人发售证券，在承销期结束时，将未售出的证券全部退还给发行人的承销方式。 代销是指证券发行人委托承担承销业务的证券经营机构（又称为承销机构或承销商）代为向投资者销售证券。承销商按照规定的发行条件，在约定的期限内尽力推销，到销售截止日期，证券如果没有全部售出，那么未售出部分退还给发行人，承销商不承担任何发行风险。
第二十三条证券公司承销证券，应当同发行人签订代销或者包销协议，载明下列事项。
