收益债券（income bonds）是指规定无论利息的支付或是本金的偿还均只能自债券发行公司的所得或利润中拔出的公司债券。公司若无盈余则累积至有盈余年度始发放，这种债券大多于公司改组或重整时才发生，一般不公开发行。利息支付取决于公司利润的债券。这种债券的利息并不固定， 发期有无利润和利润大小而定，如无利润则不付息。因此，这种债券与优先股类似。所不同的是优先股无到期日，而它需到期归还本金。在美国，由收益的保证(pledge)所融通的地方或市政债券 (municipal bond)，此收益是由铁路通行费或能源工厂等设施产生的所得。
