外资并购也称并购投资，范围包括外资公司、企业、经济组织或个人直接通过购买股权或购买资产的方式并购境内企业。外资并购是与新建投资相对应的一种投资方式，本质上是企业间的产权交易和控制权的转移。并购一般没有新的固定资产投资，因此与新建投资相比，外国企业可以更快地进入市场和占领市场。外资并购在我国很早就存在，主要是中方以资产作价同外方合资，实现存量资产利用外资。
