公司破产（gōng sī pò chǎn），公司因不能清偿到期债务，无力继续经营，由法院宣告停止营业，进行债权债务清理的状态。中国公司法规定，依法宣告破产的公司，由法院依照有关法律，组织股东、有关机关及有关专业人员成立清算组，对公司进行破产清算。
